Job Title: Company Secretary Job Summary: We are seeking a highly skilled and organized Company Secretary to join our B2B team. The ideal candidate will play a crucial role in ensuring legal compliance, corporate governance, and effective communication within the organization. As a Company Secretary, you will work closely with the executive team, providing administrative and advisory support on legal and regulatory matters. Responsibilities Legal Compliance: Stay abreast of relevant laws, regulations, and industry standards affecting the B2B business. Ensure the company's activities comply with statutory and regulatory requirements. Prepare and file necessary documents with government authorities as required. Corporate Governance: Organize and attend board meetings and ensure accurate recording of minutes. Assist in the formulation and implementation of corporate policies. Provide guidance to the board of directors on their duties and responsibilities. Communication and Documentation: Maintain and update statutory books, records, and registers. Draft and review legal documents, contracts, and agreements. Facilitate effective communication between the board, management, and shareholders. Risk Management: Identify and assess potential legal and compliance risks. Develop and implement risk management strategies. Advise the executive team on risk mitigation measures. Shareholder Relations: Manage relationships with shareholders and handle communication related to corporate governance matters. Coordinate the organization's response to shareholder inquiries and concerns. Advisory Role: Provide legal and regulatory advice to the executive team. Collaborate with external legal counsel when necessary. Training and Development: Conduct training sessions for directors and employees on corporate governance and compliance matters. Stay informed about industry best practices and incorporate them into company policies. Board Support: Assist in the recruitment, orientation, and evaluation of board members. Facilitate the board's decision-making process. Requirements: Bachelor's degree in Law, Business Administration, or a related field. A legal qualification or membership with a professional body is desirable. Proven experience as a Company Secretary or in a similar role. In-depth knowledge of corporate governance principles, legal regulations, and compliance. Excellent organizational and communication skills. Strong attention to detail and the ability to work independently. High level of integrity and confidentiality.
