About the role: As a Company Secretary, you will play a pivotal role in ensuring compliance with corporate governance regulations and statutory requirements, responsible for managing board meetings, maintaining corporate records, and facilitating effective communication between stakeholders and contribute to strategic decision-making by providing expert advice on legal and regulatory matters, and any other financial requirements fostering a culture of transparency and accountability within the organization. Key Responsibilities: Ensure compliance with legal and regulatory requirements, keeping abreast of changes in corporate law and governance practices. Organize and manage board meetings, including preparation and maintenance of agendas, minutes, and resolutions. Maintain statutory records and filings, ensuring accuracy and timeliness in submissions to regulatory authorities. Advise the board on governance issues, ethical practices, and risk management strategies. Facilitate communication between the board, management, and shareholders, addressing concerns and promoting transparency. Oversee the implementation of corporate policies and procedures, ensuring alignment with legal standards. Draft and review contracts, agreements, and legal documents. Handle the issuance and transfer of shares, as well as manage relationships with shareholders and investors. Contribute to the development of corporate strategy by providing insights on legal, regulatory, and governance matters. Collaborate with external legal counsel/consultant as needed. Qualifications: Education: Qualified graduate and a practising Company Secretary 0-2 years of proven experience as a Company Secretary. Candidate with experience in providing Company Secretarial support to financial organizations would be preferred. Ability to communicate effectively and inspire confidence in teams, executive management, and peers. Ability and courage to question status quo and develop solutions to address concerns. Knowledge of Law and Finance. Familiarity with relevant software and applications.
