Requisition ID42387BRBusiness UnitCORJob DescriptionThe Contracts Management Specialist will be responsible for the review, negotiation, administration, and compliance oversight of IT-related contracts, including software licenses, cloud services (SaaS, PaaS, IaaS), IT professional services, and technology procurement agreements. This role will serve as the liaison between internal stakeholders, vendors, and legal counsel to ensure contracts meet business requirements, comply with organizational policies, and mitigate contractual risks.
Key Responsibilities:
  • Draft, review, and negotiate a variety of IT-related agreements, such as software licensing, subscription services, cloud hosting, maintenance/support contracts, and IT consulting agreements.
  • Coordinate with IT, procurement, finance, and legal teams to align contract terms with technical requirements, budget, and compliance standards.
  • Ensure all contracts adhere to company policies, applicable laws, data privacy regulations (e.g., GDPR, CCPA), and cybersecurity standards.
  • Manage the contract lifecycle, including renewals, amendments, terminations, and performance monitoring.
  • Maintain a centralized contract repository and track key milestones, deliverables, and renewal dates.
  • Identify and mitigate contractual risks through proactive review and negotiation of service level agreements (SLAs), indemnities, liability limits, and intellectual property clauses.
  • Assist in developing and improving contract templates, playbooks, and negotiation guidelines for IT-related agreements.
  • Provide guidance to stakeholders on contract interpretation and enforceability.

  • Bachelor's degree in Business, Law, Supply Chain Management, or related field.
  • 3+ years of experience in contract management, preferably with a focus on IT procurement or technology agreements.
  • Strong understanding of software licensing models, cloud computing contracts (SaaS, PaaS, IaaS), and IT vendor management.
  • Familiarity with relevant regulations and compliance frameworks (e.g., data protection, cybersecurity requirements).
  • Excellent negotiation, communication, and interpersonal skills.
  • Strong organizational skills with attention to detail and the ability to manage multiple priorities in a fast-paced environment.
  • Proficiency with contract management software and Microsoft Office Suite.
Preferred QualificationsPreferred Skills:
  • Experience working in a corporate legal or procurement department.
  • Knowledge of agile procurement processes and emerging technology contract trends.
  • Certification in contract management (e.g., NCMA's CPCM or IACCM/WorldCC).

CDM Smith will conduct interviews of qualified individuals prior to requesting a criminal background check, and no job application submitted prior to such interview shall inquire into an applicant's criminal history. If this position is subject to a background check for any convictions related to its responsibilities and requirements, employment will be contingent upon successful completion of a background investigation including criminal history.
