What You'll DoRTI is seeking a Company Secretary. The person would act as the Company Secretary for Research Triangle Institute Global India Private Limited (RTI India), providing secretarial services and supporting compliance with corporate governance laws including but not limited to compliance with provisions of the Secretarial Standards, Companies Act, 2013 and rules made thereunder as well as any other applicable statutes and by-laws of the Company, RBI, FEMA and allied laws as applicable from time to time. Additionally, the person would be expected to support on-going compliances with India local authorities and the legal framework in which RTI India is required to operate and research and report to stakeholders about further options and analysis as might be requested or as noticed by the candidate.The person may also be required to support other corporate or administrative matters. On occasion, this position will be required to travel to RTI’s office in New Delhi, India and will report to a Senior Attorney.Illustrative Duties as Company Secretary
- Support compliance with provisions of the Secretarial Standards, Companies Act, 2013 and rules made thereunder as well as any other applicable statutes and by-laws of the Company, RBI, FEMA and allied laws as applicable from time to time on RTI India and its associates based on business requirements as well as statutory requirements.
- Support Secretarial Compliance for Organizing Board, General and Committee meetings, including organizing and supporting the meetings, drafting of resolutions, Preparation of Notices, Agendas, Minutes, etc., in relation to company meetings, and related coordination with the Board of Directors and their delegates as well as other employees being part of or supporting the cause. This would include coordination with external agencies as and when required.
- Prepare and timely file forms/returns with Registrar of Companies, RBI, SEBI and other Regulators as applicable from time to time.
- Preparation of Directors Report, Annual Return, Notices
- Maintain the company’s statutory books and records, including directors register, members register, share register etc. as required under the Company Law as per applicable laws
- Track new laws, amendments, notifications and circulars which may have impact on the business and or functioning of the Company and its associates and make management aware of them on a proactive and routine basis.
- Coordinate and support Statutory/Tax/Internal Auditors and Other Agencies in their Review of Compliances in relation to areas handled
- Support updates of all government records (and related processes) to the extent linked with RTI India
- Any other additional responsibility might be assigned as per the business needs.
- Master’s degree or Bachelor’s Degree with 1 years of experience or equivalent combination of education and experience.
- Valid Company Secretary license (applicable to service or consulting companies/organizations).
- Strong person with exceptional customer relationship skills, able to quickly build and maintain relationships at the most senior levels both externally and internally.
- Strong team collaboration skills, including the ability to create a highly effective/efficient and successful team working atmosphere across time zones.
- Critical thinking skills with the ability to identify and understand issues, root causes and opportunities from disparate sets of information and provide clear conclusions and guidance.
- Ability to interact effectively with internal RTI business units and
- Strong project management, organizational and general “people skills”.
- Excellent knowledge of MS Word, Outlook, PowerPoint,
- Excellent verbal or spoken and written communication skills in English
- Communicate well in Hindi, both verbally and in writing

- Ability to travel within India as needed.
