Job Purpose Deployment of Suzlon 's International legal strategy , policies and common framework in alignment with applicable statutory legislations in each respective country; Determine and formulate guidelines, processes, and standards for the development, review and approval of all matters that may expose Suzlon to legal or regulatory risks with context to the Company business; Provide advice and act as a facilitator to analyze the legal angle of the prospective new projects or businesses as initiated and thought of by the Senior Leadership Team/Board; Ensure the development and application of consistent, compliant and high quality standards for contracts and other legal documents across all functions in Corporate. Principle Accountabilities A. Deployment of Suzlon's legal strategy, policies and common framework in alignment with applicable statutory legislations in each respective area Ensure implementation of the legal strategy and policies, in order to look optimally after the companies' interest and to meet legal demands. B. Formulate guidelines, processes, and standards for the development, review and approval of all matters that may expose Suzlon to legal or regulatory risks with context to the Company business Design processes for determining the levels of legal reviews needed under various circumstances and determines policies guiding the appropriate use of external counsel Ensure adherence to applicable statutes. Ensure that all agreements are drawn and executed in accordance with Suzlon standards and the delegation authority Develop process documentation and protocol plan for ensuring compliance with laws and regulations Develops protocols for handling identified critical issues C. Provide advice and act as a facilitator to analyze the legal angle of the prospective new projects or businesses. Analyze the prospective projects/businesses in light of the legal guidelines and principles of Suzlon and the government Provide comments and suggestions to the sponsors with respect to the relevant legal , statutory and secretarial related issues in order to contribute to effective decision making D. Ensure the development and application of consistent, compliant and high quality standards for contracts and other legal documents across all functions in Corporate Develop standard drafts and precedents with necessary updates for use by the Legal and Secretarial team and ensures consistent implementation thereof by the other functions Create process flow for creation/approval of legal agreements/documents in co-ordination with Compliance Support the management in complying with legal requirements, anticipating legal risks and responding to evolving regulatory framework while setting up new projects in India Ensure that all NDAs and MOUs are vetted and complaint with the statutory regulations E. Assist in provision of high quality, cost effective legal services and advice to internal customers and related external entities Vet and validate the contract of appointment of ad agencies, media partners- print and visual in order to safeguard the company's interest and build the brand value further Supports the selection of panels of external counsel for ongoing support including both technical assessment of relevant expertise and negotiation on fees, terms and conditions Monitors legal costs incurred against set budget F. Ensure compliance of all activities in the BUs and Sites with all statutory and regulatory requirements Monitor, analyze and legal aspects of the holding company and subsidiaries advise on these matters. Identify potential risks and prepare policies, tools and processes like compliance committees, reporting, training etc. to mitigate risks. Develop communication and training plans with regard to compliance for e.g.- Standard of Conduct, Business risks in public dealing etc. Ensure audit and record of compliance for external due diligence purposes. G. Manage the litigation with third parties at group level in alignment with the legal strategy Ensure follow-up with external legal counsels and provide guidance and back-up information Discuss any arbitrage and settlement options, including the financial provisioning on any disputes with management Ensure resolution of disputes in an effective manner. Requirements: 1. Bachelor's degree in Law (LLB) from an accredited institution; additional certification or specialization in relevant legal areas is a plus. 2. Admission to the bar in the jurisdiction where the company operates; active license to practice law. 3. Minimum of [12-15] years of experience practicing law, with a focus on litigation, contracts preferably in a corporate or legal firm setting. 4. Strong knowledge of legal principles and regulations related to litigation, contract law, and regulatory compliance. 5. Proven experience in managing litigation matters, including case management, legal research, and courtroom advocacy. 6. Excellent drafting and negotiation skills, with the ability to review and negotiate complex contracts effectively. 7. Strong analytical and problem-solving skills, with the ability to assess legal risks and develop practical solutions. 8. Excellent communication and interpersonal skills, with the ability to interact effectively with internal stakeholders, external parties, and legal counsel.
