Reporting To: General CounselRole Summary:The Assistant Manager - Legal will play a pivotal role in our client's legal operations. This position involves drafting and negotiating commercial contracts, conducting land due diligence, supporting M&A transactions, performing regulatory research, and collaborating with internal and global stakeholders. The ideal candidate will bring strong legal acumen, industry-specific knowledge, and the ability to manage complex legal matters in the renewable energy sector.Key Responsibilities:Contract Management
- Draft, review, and negotiate a wide range of commercial agreements including:
- NDAs, Purchase Orders, Work Orders, and Service Agreements
- EPC Contracts and O&M Agreements
- Lease Deeds, Sale Deeds, Easement Agreements
- Procurement and other project-related contracts
- Support land acquisition processes through title verification and legal clearances.
- Prepare and finalize land-related documentation such as lease deeds, sale deeds, and conveyance deeds.
- Coordinate with internal land teams and external legal advisors to ensure statutory compliance.
- Assist in legal due diligence, transaction structuring, and documentation for mergers and acquisitions.
- Review and analyze key agreements including SPAs, SHAs, and JV contracts.
- Conduct legal research on applicable laws and regulations affecting renewable energy projects (e.g., electricity, land, environmental).
- Track policy updates and advise on compliance requirements.
- Collaborate with internal departments such as Projects, Finance, and Procurement.
- Liaise with external stakeholders including law firms, government bodies, and counterparties.
- Coordinate with global legal teams on cross-border transactions and compliance matters.
- Education: LL.B. / BA LL.B. from a recognized institution
- Bar Enrollment: Must be enrolled with the Bar Council
- Experience: 3-5 years in contract law, infrastructure/renewable energy, or corporate transactions (in-house or law firm)
- Core Competencies:
- Strong grasp of contract law, electricity regulations, and land laws
- Excellent drafting, negotiation, and analytical skills
- Ability to work independently and manage diverse stakeholders
- Prior experience in the renewable energy sector is preferred
