Job Description:By providing a consistent approach to financings being undertaken across India (and working, as appropriate, with Group Treasury and Group Legal to achieve consistency), this position plays a vital role in identifying and mitigating risks and restrictions in financing documentation being entered into by our companies in India and highlighting them to the Treasury Controller, along with supporting the negotiation of wording that aims to protect against these risks and minimize restrictions. The job is project-specific in the most part and the transaction can range in size from a few million to over half a billion USD and in complexity from a relatively straightforward guaranteed loan to a greenfield project financing but also includes reviewing and advising on other bank or finance-related matters. The size and nature of India's business means the documentation negotiated is important as it can significantly impact the Group's ability to manage its business, especially in a difficult market scenario.Key Responsibilities
1. Legal Compliance:
  • Stay updated on relevant financial laws, regulations, and compliance requirements.
  • Provide legal advice to ensure treasury activities adhere to applicable laws and regulations.
2. Contractual Agreements:
  • Draft, review, and negotiate legal agreements related to treasury operations, including loan agreements, credit facilities, and derivative contracts (and manage local/international counsel as required).
  • Collaborate with internal stakeholders and external parties to finalize contractual terms.
  • Work closely with HO Treasury Counsel to finalize the agreements - ensuring alignment with DPW Group standards.
  • Identify and analyze legal issues and possible departures from precedent and DPW standards that may arise from the funding proposed for specific projects. Make clear and commercially focused recommendations in respect of such issues.
  • Responsible for drafting and updating India-specific standard loan and guarantee documents as required to support the various financing transactions being undertaken by Treasury, India to maintain and/or improve them and is responsible for ensuring they align with Group DPW precedents and legal standards.
3. Risk Mitigation:
  • Identify legal risks associated with treasury transactions and propose strategies for risk mitigation.
  • Work closely with risk management teams to address the legal implications of financial instruments.
4. Treasury Policy and Procedure:
  • Contribute to developing and enhancing treasury policies and procedures to ensure legal compliance.
  • Educate treasury and finance teams on legal implications and considerations.
5. Financial Instrument Analysis:
  • Analyze legal implications of various financial instruments, such as bonds, securities, and derivatives.
  • Guide the structuring of financial transactions to align with legal requirements.
6. Due Diligence:
  • Conduct legal due diligence for new financial transactions and treasury initiatives.
  • Identify and communicate potential legal issues that may arise during treasury activities.
7. Dispute Resolution:
  • Collaborate with internal and external legal teams and HO Treasury to resolve disputes related to treasury matters.
  • Represent the organization in legal proceedings, if necessary.
8. Communication and Training:
  • Communicate legal requirements and considerations effectively to non-legal stakeholders within the treasury and finance teams.
  • Conduct training sessions on legal aspects relevant to treasury operations.
QUALIFICATIONS & COMPETENCIES
  • A law degree from an accredited law school with a distinction average or honors.
  • Admission to the bar in the relevant jurisdiction.
  • 8-10 years of proven experience as a lawyer in financial services or corporate treasury.
  • Strong understanding of financial instruments, risk management, and treasury operations.
  • Excellent negotiation, communication, and analytical skills.
  • Familiarity with international financial regulations is advantageous (particularly cross-border and English law governed debt finance documentation).
  • Ability to deal with ambiguity associated with a high-growth environment.
  • Ability to manage multiple stakeholders without issues or compromising on the goals.
  • Critical thinking and problem-solving skills
