Job Summary A company secretary holds a pivotal role within an organization, overseeing legal compliance, corporate governance, and administrative duties. Serving as a trusted advisor to the board of directors and senior management, they ensure adherence to statutory and regulatory requirements, maintain accurate corporate records, and facilitate effective communication with stakeholders. Their responsibilities encompass organizing board meetings, drafting minutes, and overseeing corporate filings, playing a central role in the smooth functioning of the company's governance framework. With expertise in company law, governance principles, and regulatory standards, the company secretary acts as a guardian of corporate integrity, fostering transparency, accountability, and ethical conduct throughout the organization's operations. Job Responsibilities IPO Preparation and Execution : Leading the IPO process from a corporate governance and regulatory compliance perspective. Collaborating with internal teams, external advisors, and underwriters to ensure all regulatory requirements are met for the IPO. Drafting and reviewing IPO-related documents, including the prospectus, offering circular, and other regulatory filings. Coordinating due diligence processes and ensuring all necessary disclosures are made to regulatory authorities and potential investors. Managing the timeline and milestones of the IPO process to ensure timely completion. Regulatory Compliance Ensuring compliance with all applicable securities laws, regulations, and listing requirements throughout the IPO process. Advising on corporate governance practices that align with regulatory expectations for publicly traded companies. Implementing policies and procedures to maintain ongoing compliance with post-IPO regulatory obligations. Stakeholder Communication Serving as a primary point of contact for regulatory authorities, stock exchanges, underwriters, and other stakeholders during the IPO process. Facilitating communication between internal teams, external advisors, and stakeholders to address any issues or concerns related to the IPO. Corporate Governance Post-IPO Establishing and maintaining post-IPO corporate governance structures, including board committees and shareholder communication mechanisms. Providing guidance to the board of directors and senior management on corporate governance practices specific to publicly traded companies. Ensuring ongoing compliance with disclosure requirements, reporting obligations, and corporate governance standards post-IPO. Risk Management And Compliance Identifying and mitigating legal and regulatory risks associated with the IPO process and ongoing operations as a publicly traded company. Developing and implementing risk management strategies to address potential issues related to securities laws, regulatory compliance, and corporate governance. Experience And Qualifications Significant experience in corporate secretarial roles, preferably with direct involvement in IPOs. In-depth knowledge of securities laws, regulations, and listing requirements relevant to IPOs and publicly traded companies. Strong understanding of corporate governance principles and best practices. Excellent communication, negotiation, and project management skills. Professional qualifications such as chartered secretary, lawyer, or equivalent may be preferred. Prior experience working in a regulated industry or with regulatory authorities may be advantageous. Job Requirement Professional Degree of Company Secretary is mandatory . An additional Law degree would be highly preferred though not mandatory. Extensive experience in corporate law, M&A, securities, private equity, venture capital, and general commercial advisory matters. Minimum of 10+ years of experience. Strong knowledge of corporate law, contract law, securities regulations, and other relevant areas of secretarial Salary upto 30-35L CT
